Starting a business is exciting, and the paperwork doesn't have to be stressful. Here is the general sequence most new LLC owners in New York and New Jersey follow.
The checklist
- Choose and check your business name. Make sure it's available in your state and that it meets naming rules (for example, it must include "LLC" or "Limited Liability Company").
- File your formation document with the state. In New York this is the Articles of Organization, filed with the Department of State. In New Jersey it's the Certificate of Formation, filed with the Division of Revenue and Enterprise Services. Each state charges a filing fee.
- Apply for your EIN. The IRS issues your Employer Identification Number for free. You'll need it for a business bank account, payroll and tax filings.
- Complete state-specific steps. New York LLCs must meet a publication requirement within 120 days of formation, which can be costly in some counties. New Jersey LLCs file an annual report each year.
- Register for state taxes if you'll collect sales tax or have employees.
- Get local licenses and permits. Requirements depend on your industry and city or town.
- Open a business bank account and set up your books from day one.
